Mădălina Hristescu is the Founding & Managing Partner at Hristescu & Partners (HMP), an innovative law firm in Romania, providing tailor-made solutions and extensive legal services in Mergers & Acquisitions, Banking, Non-Banking, IT&C, Real Estate, Data Protection, Digital, Sports & Entertainment and Corporate Governance.

In the past, Mădălina led the Legal Department of an international corporation and she currently acts as a Council Member of the European Regional Forum – International Bar Association (IBA) and an Official Partner to the Romanian Financial Institutions’ Association (ALB). Irina Dragnea is a qualified lawyer, member of the Bucharest Bar and Partner at Hristescu & Partners. Together with Mădălina, Irina oversees the management of the firm and is actively involved in all transactions and client representation activity. She has a proactive attitude, and brings an analytical and practical approach to all legal and management issues.
She has been involved in major corporate and real estate transactions, mainly representing private investors in Romania. Irina is also a well-versed litigator, authorized to practice at all levels of the Romanian courts. She understands, her national judicial system from a dual perspective, both as an experienced legal adviser and a skilful advocate in pleadings. Irina has assisted several clients in administrative proceedings and administrative litigation before the national courts, including the successful annulment of legislation and proceedings before the European Court of Human Rights.
Her outstanding experience encompasses complex commercial contracts on a national and/or global scale, with specific legal aspects in a wide area of work, including corporate, banks and financial fields or the regulatory field. Irina has an exceptional amount of experience in corporate matters (acquisitions, forming entities, drafting, negotiating and closing commercial agreements contracts for all types of transactions). Furthermore, Irina has a vast experience in specific company operations, such as share assignment, management procedures, shareholder agreements and share capital related proceedings.
Irina is involved in the legal governance of federations, employers’ associations and other professional associations in various sectors and has been successfully assisting in the foundation and all further legal support of several such associations from the banking, non-banking and financial sector.
In practice, Irina has pleaded and briefed complex cases and been part of a significant number of civil and commercial transactions, real estate transactions, contractual and tort liability cases as well as corporate law litigation. Some examples include shareholder disputes or annulment of resolutions, application and enforcement of securities and bankruptcy and insolvency matters.
She graduated in Law from the Romanian-American University and also has a master’s degree in European Law.
Irina is fluent in English and conversant in Portuguese.
Daniela Siminiceanu Consorti has been a partner at the Romanian law firm Hristescu&Partners (HMP) since 2008 and coordinating the Italian office at the same time. Daniela’s practice is focused on large scale M&A transactions in the energy, real estate and banking sectors as well as on banking regulations and compliance. She is specialized in assisting foreign companies in various acquisitions of Romanian entities (including advice on corporate structure and transaction documentation, legal due-diligence reports and regulatory compliance), as well as general corporate issues. She also assists Romanian companies in starting up and developing their business in Italy. Before becoming a partner, Daniela worked as an associate at the Bucharest office of the US firm White & Case.
She earned her first Bachelor of Law degree. in 2001 from the University of Bucharest (Romania) and her second., with distinction, in 2005 from the La Sapienza University in Rome (Italy).
She was admitted to the bar in Italy in 2008 and has been licensed to advise throughout Romania since 2001 for out-of-court matters and transactions.
Roxana Țărmurean is leading the Media, Digital & Sports department at Hristescu & Partners and has extensive experience in sports & entertainment law, IT&C, data protection and digital technologies. As an attorney, Roxana provides insightful advice on new digitalized solutions for the firm’s clients, providing in-depth and innovative solutions that are based on 10 years’ experience in arbitration & dispute resolution, IT&C, data protection and the sports & entertainment legal environment.
In practice, Roxana has provided assistance in a significant number and range of disputes before national and international courts and jurisdictional bodies (the CAS, FIFA, Romanian Football Federation, Professional Football League, Romanian Handball Federation, Romanian Motorcycling Federation, French Handball Federation, European Handball Federation, etc.), acting as an advisor for athletes, sports agents and some of the most well-known football clubs in Romania. Beyond this, Roxana ensures legal representation in contentious administrative, EU funding and sports association-related cases, from strategy prior to starting legal action through to legal representation in courts at all levels, up to the High Court of Cassation and Justice (Romanian Supreme Court).
Roxana’s approach combines technical litigation skills with her counselling insight to deal with complex and diverse matters. Her multi-disciplinary approach covers contractual claims and cases, as well as civil and labour related disputes.
Having published a handbook on commercial arbitration in 2012 (“Arbitrajul intern si international”), an international guide to arbitration in 2013 (International Arbitration 2013, ICLG) and various articles on sports law (“Football Legal”), Roxana maintains close contact with the academic environment and has been invited to lecture at several specialized courses and conferences.
Roxana holds a double Master in Law degree in Business Litigation and European and International Business Law from Paris I Panthéon-Sorbonne, having received a French government scholarship to study. She is a graduate of the University of Bucharest (2009) and of the French-Romanian College of Law Studies in Bucharest. In 2015, she followed an executive programme at ISDE Madrid – International Sports Law – that she graduated first in her class.
She has been an attorney since 2009 and is a member of the Bucharest Bar Association.
Roxana is fluent in English and French, and conversant in Spanish.
Diana leads the HMP consultancy department, and has over 17 years’ experience in the corporate, banking and non-banking fields. She provides our clients with a comprehensive vision that encompasses other areas, such as advanced financial technologies or electronic payment systems.
She has relevant experience in the core of a business, having been an in-house lawyer for more than 10 years in one of the largest leasing companies on the Romanian market. Becoming part of the HMP team in 2013, she has been dealing with complex consultancy issues ever since. Diana is, always a step ahead of the client’s; she has great foresight and the valuable skill of being able to offer the most suitable legal solutions to the businesses she is advising.
Diana has advised credit institutions and other international financial institutions, insurance companies, as well as brokers and borrowers on a wide range of transactions. She has also been involved in mergers and acquisitions, corporate governance, consumer protection proceedings, labour and employment issues, data protection and regulatory affairs.
Diana graduated from the Law Faculty at the University of Bucharest.

Carmen Ion leads the litigation department at Hristescu & Partners. She has pleaded and briefed in complex disputes in a variety of matters, with a particularly developed background in commercial disputes and the banking, non-banking and financial sectors. She also has significant experience and great success rate in handling disputes from a broad range of legal areas, including fiscal and administrative, employment and labour law and consumer protection matters.
With an experienced understanding of the judicial system, Carmen has been achieving favourable outcomes for the firm’s clients in courts at all levels, up to the High Court of Cassation and Justice (Romanian Supreme Court), with experience before the non-judicial bodies of various authorities.
Carmen is developing strategies in judicial and non-judicial disputes and is actively involved in numerous complex civil and commercial cases, enforcement proceedings, insolvency and bankruptcy matters, contractual and tort liability cases and corporate law disputes, including shareholder disputes and other corporate disputes.
Given her rich, 12-year litigation experience, Carmen brings extremely valuable input to the sensitive elements of various transactions; she is a lawyer with an active and relevant presence in a variety of client matters.
Carmen graduated from the Faculty of Law at Nicolae Titulescu University, Bucharest and has a Master’s degree in Private Law.
She is member of the Bucharest Bar, having been admitted as an attorney in 2007.
Adelina has a wealth of experience in several areas of Romanian legal practice, and is a multidisciplinary professional with well correlated expertise. She offers juridical consultancy in banking support functions across a range of legal matters, including legal risk assessment approaches, legal advice on different types of projects and complex contracts for sophisticated IP products and IT&C legal components, negotiation of civil contracts and juridical support on Romanian corporate law matters.
Prior to joining HMP, Adelina was part of the local corporate counsel team of a global banking group for 5 years. She coordinated that team until 2014, when, as a legal expert, she was delegated as local data protection officer.
Before working in the banking area, Adelina developed ample professional experience as an attorney-at-law (having been a member of the Bucharest Bar Association since 2003), providing legal advice on negotiating civil and commercial agreements, labour issues or IP and/or IT&C law matters. She also represented several Romanian legal entities in court in civil/commercial litigations, provided legal advice on corporate legal matters and, as Senior Associate at a top flight law firm. She has also coordinated due diligence analysis and legal advice on multiple civil and commercial aspects in the context of foreign investments, real estate projects, etc.
Adelina has almost 4 years’ experience as a legal advisor to central government where she developed skills as a litigator in a very significant number of cases before the (former) Romanian Supreme Court of Justice, in public (tax as well as administrative) law cases. As such, she was trained in and took short courses including IMF –Financial Transactions for Lawyers and OECD –Tax Treaties.
Adelina graduated from the Faculty of Law at the University of Bucharest and has a Master Degree in Public Policy from the University of Bucharest.
She is fluent in English and German.
Bogdan focuses on public procurement proceedings, as well as corporate and regulatory matters.
He has broad practical experience in advising on the application and implementation of the various stages of procedures for granting public and sectoral procurement.
Bogdan understands current legal matters from a dual perspective. Firstly, from the point of view of the contracting authority – experience gained from being involved in public procurement procedures during his time as legal counsel for a public institution – and secondly, from on economic operator`s point of view, owing to his experience in private practice.
Before entering private practice, Bogdan worked for the Romanian Environmental Protection Authority, where he was directly involved, as legal counsel, , in public procurement, labour and civil servants lawsuits, administrative law and misdemeanour lawsuits, drafting proposals and opinions on primary and secondary legislation proposals applicable to that specific sector of the Authority.
He has been dealing with complex civil and commercial negotiations, drafting and reviewing contracts, involving different parties of the public and private sectors, including multinational companies in national or cross-border transactions.
Bogdan graduated in Law from the University of Bucharest in 2011 and holds a master’s degree in public procurement proceedings, concessions and public-private partnership (PPP) from the University of Bucharest.
He is fluent in English.
Corina Manolache has been leading the National Registry of Movable Property registrations department at HMP since 2015, and is an official authorised agent of the RNPM registry (formerly the AEGRM).
Her professional experience is principally in the non-banking sector, having worked as an advisor for four years within a leasing company. She has extensive expertise in securities, with special focus on granting and enforcing mortgages and securities over movable assets.
She graduated Legal and Administrative Sciences – major in Law in 2010 and holds a Master of Laws degree in Judiciary Career.
Corina speaks English.
